1. Introduction
1.1 Legal Agreement
These Terms and Conditions ("Terms") constitute a legally binding agreement between GROWUPP ABH SECUIRTY PRIVATE LIMITED, a company duly incorporated under the provisions of the Companies Act, 2013, bearing Corporate Identification Number (CIN) U62010MH2025PTC445169, and having its registered office at:
67 B, Gopal Mansion CHS Ltd, Gurunanak Road, Bandra West, Mumbai - 400050, Maharashtra, India
(hereinafter referred to as the "Company", "we", "us", or "our"),
AND
Any individual or entity accessing or using the COINZII platform ("User", "you", or "your").
These Terms govern your access to and use of the Company's website, mobile application, APIs, and all related products and services (collectively referred to as the "Services").
1.2 Scope of Services
The Company operates a technology-enabled digital platform under the brand name COINZII, facilitating structured access to Virtual Digital Asset-related services through regulated banking channels and third-party API integrations.
The Company does not operate a Peer-to-Peer (P2P) marketplace and does not accept direct cryptocurrency deposits from external wallets. All services are provided strictly in accordance with applicable Indian laws and regulatory frameworks.
1.3 Acceptance of Terms
By accessing, registering, or using the Services, you represent and warrant that:
- You have read, understood, and agreed to be bound by these Terms;
- You are legally competent to enter into a binding contract under Indian law;
- You agree to comply with all applicable laws, regulations, and platform policies.
If you do not agree with any part of these Terms, you must immediately discontinue use of the Services.
1.4 Binding Nature & Electronic Consent
Your use of the platform constitutes electronic acceptance of these Terms. Such acceptance shall have the same legal validity and enforceability as a physical signature under applicable Indian law, including the Information Technology Act, 2000.
1.5 Incorporation of Additional Policies
These Terms shall be read together with and incorporate by reference:
- Privacy Policy
- Risk Disclosure Statement
- Refund & Cancellation Policy
- AML & KYC Compliance Framework
In the event of any conflict, regulatory compliance obligations shall prevail.
1.6 Modification & Updates
The Company reserves the right to amend or update these Terms in accordance with Section 12 (Amendments). Continued use of the Services shall constitute acceptance of such modifications.
1.7 Regulatory Disclaimer
The Company operates in compliance with applicable Indian regulatory requirements relating to Virtual Digital Assets. However, the regulatory environment remains subject to change. The Company reserves the right to modify or suspend Services where required by law or governmental directive.
2. Scope & Nature of Services
2.1 Overview of Platform
GROWUPP ABH SECUIRTY PRIVATE LIMITED operates a technology-driven digital platform under the brand name COINZII, which enables users to access structured Virtual Digital Asset (VDA)-related services through regulated financial infrastructure and authorized banking channels.
The Company functions solely as a technology service provider and facilitator and does not operate as a traditional stock exchange, depository institution, banking entity, or financial advisory firm.
2.2 Non-P2P Model
The platform does not operate as a Peer-to-Peer (P2P) marketplace. Users are not permitted to:
- Directly transact with other users
- Transfer digital assets between individual accounts
- Negotiate independent settlements outside the platform
All transactions are processed within the Company's structured service framework.
2.3 No Direct Cryptocurrency Deposits
The Company strictly prohibits and does not support:
- Direct deposits of cryptocurrency from external blockchain wallets
- Transfers from third-party crypto exchanges into the platform
- External wallet integrations controlled by users
The platform operates under a fiat-based transaction model, and all user funding must be conducted exclusively in Indian Rupees (INR) through authorized financial channels.
2.4 Fiat-Based Transaction Structure
All deposits and withdrawals shall be processed only through:
- Regulated banking partners
- Authorized payment gateways
- Escrow or nodal account structures
Cash deposits, anonymous funding methods, or third-party account transfers are strictly prohibited. The Company reserves the right to reject or reverse transactions that violate funding policies.
2.5 Third-Party Exchange & API Integration
To facilitate digital asset transactions and liquidity access, the Company may integrate with regulated third-party exchanges and liquidity providers through secured Application Programming Interface (API) systems. Users acknowledge that:
- Order execution, liquidity availability, and pricing may depend on third-party exchange infrastructure.
- Execution speed may vary based on system load, market volatility, and API latency.
- Temporary service interruptions may occur due to scheduled maintenance or technical disruptions beyond the Company's control.
The Company shall not be liable for losses resulting from third-party exchange downtime or API failures.
2.6 No Custodial Wallet Services
The Company does not provide independent custodial blockchain wallet services for external storage or withdrawal of digital assets to private wallets. Users do not have direct blockchain wallet access through the platform. Any digital asset exposure is structured solely within the Company's regulated service environment.
2.7 No Investment Advisory
The Company does not provide:
- Investment advisory services
- Portfolio management services
- Guaranteed return schemes
- Financial planning services
All decisions to buy, sell, or hold digital assets are made independently by the user. The platform does not recommend specific digital assets unless explicitly stated as informational content.
2.8 Service Availability & Modification
The Company reserves the right to:
- Add, modify, or discontinue services
- Introduce new features
- Change transaction limits
- Temporarily suspend certain services
Such modifications may occur due to regulatory updates, risk management requirements, operational considerations, or technological upgrades.
2.9 Compliance Framework
The platform operates under a compliance-driven model aligned with:
- Prevention of Money Laundering Act (PMLA)
- FIU-IND reporting obligations
- Applicable Indian taxation rules for Virtual Digital Assets
- Other relevant statutory regulations
Users agree that regulatory compliance obligations shall override any operational convenience.
2.10 Right to Refuse Service
The Company reserves the absolute right to refuse, restrict, or discontinue Services to any user at its sole discretion where:
- Compliance risks arise
- Legal restrictions apply
- Regulatory obligations require action
- Internal risk policies are triggered
3. User Eligibility & Account Registration
3.1 Eligibility Criteria
To access and use the Services provided by GROWUPP ABH SECUIRTY PRIVATE LIMITED under the brand name COINZII, a User must:
- Be at least 18 years of age;
- Be legally competent to enter into a binding contract under the Indian Contract Act, 1872;
- Not be barred, restricted, or prohibited by any applicable law from accessing Virtual Digital Asset-related services;
- Not be listed under any sanctions list, watchlist, or prohibited entity list issued by domestic or international regulatory authorities.
The Company reserves the right to require documentary proof of eligibility at any time.
3.2 Geographic Restrictions
The Services are intended primarily for residents of India, unless explicitly permitted otherwise. The Company may restrict, suspend, or terminate access to users located in jurisdictions:
- Subject to international sanctions;
- Identified as high-risk by regulatory authorities;
- Where Virtual Digital Asset services are restricted or prohibited.
Accessing the Services from a restricted jurisdiction through VPN or technical bypass mechanisms shall constitute a material breach of these Terms.
3.3 Account Registration Requirements
To use the Services, users must create a registered account and provide:
- Full legal name (as per government-issued ID);
- Valid email address and mobile number;
- Permanent Account Number (PAN);
- Aadhaar or other government-approved identity documentation;
- Bank account details in the user's own name.
The Company reserves the right to request additional documentation as required under KYC, AML, or regulatory compliance obligations.
3.4 KYC & Identity Verification
All users must successfully complete the Company's Know Your Customer (KYC) verification process before engaging in transactions. KYC procedures may include:
- PAN verification
- Aadhaar-based authentication
- Video KYC
- Bank account validation
- Liveness checks
- Source of funds declaration
The Company may reject, suspend, or delay account activation if verification requirements are not satisfactorily met.
3.5 Corporate & Institutional Accounts
Where the applicant is a company, partnership, LLP, or other legal entity, the following may be required:
- Certificate of Incorporation
- Memorandum & Articles of Association
- Board Resolution authorizing account creation
- Director / Authorized Signatory KYC
- Beneficial Ownership Declaration
- Corporate PAN
- Source of Funds Declaration
The Company may conduct enhanced due diligence (EDD) for high-risk entities.
3.6 Accuracy of Information
Users represent and warrant that all information provided during registration and thereafter:
- Is true, accurate, current, and complete;
- Is not misleading or fraudulent;
- Will be updated promptly if any changes occur.
Providing false, incomplete, or misleading information may result in immediate suspension or termination of Services without prior notice.
3.7 Account Responsibility & Security
Users are solely responsible for:
- Maintaining confidentiality of login credentials;
- Securing OTPs and authentication devices;
- All activities conducted under their account.
The Company shall not be liable for unauthorized access resulting from user negligence, credential sharing, or compromised devices. Users must immediately notify the Company in case of suspected unauthorized access.
3.8 One Account Policy
Each individual user may maintain only one primary account unless otherwise approved by the Company. Multiple accounts created to bypass limits, restrictions, or compliance controls may result in:
- Permanent suspension;
- Fund freezing;
- Regulatory reporting, if applicable.
3.9 Ongoing Monitoring & Re-Verification
The Company reserves the right to:
- Conduct periodic KYC re-verification;
- Request updated documentation;
- Review transactional patterns for compliance purposes.
Failure to cooperate may result in account restrictions.
3.10 Right to Refuse or Terminate Registration
The Company reserves the absolute right, at its sole discretion, to:
- Refuse account registration;
- Delay account approval;
- Suspend or terminate existing accounts;
Where required by law, regulatory directive, internal compliance policies, or risk management protocols.
4. User Obligations, Representations & Covenants
Users commit to lawful use of the platform, declaring that all funds originate from legitimate sources. Prohibited activities include market manipulation, identity fraud, and circumventing the platform's compliance controls. Users are responsible for their own tax obligations and must cooperate with compliance reviews.
5. KYC, AML & Regulatory Compliance
The Company is committed to maintaining the highest standards of regulatory compliance, operating in accordance with the Prevention of Money Laundering Act, 2002 (PMLA), FIU-IND reporting guidelines, and all applicable regulatory frameworks. Enhanced Due Diligence (EDD) may be conducted for certain categories of users or transactions.
6. Payments, Transactions & Third-Party API Integration
All funding and withdrawal transactions are conducted strictly in Indian Rupees (INR) through authorized banking channels. The Company may integrate with third-party exchanges for trade execution, subject to market price fluctuations and system availability.
7. Risk Disclosure
Virtual Digital Assets are subject to significant market volatility. The Company does not guarantee returns or protection against market losses. Users acknowledge regulatory, technological, liquidity, and taxation risks associated with digital asset transactions.
8. Prohibited Activities & User Conduct
Users are strictly prohibited from engaging in money laundering, terrorist financing, market manipulation, identity fraud, system misuse, or accessing the platform from restricted jurisdictions. Violations may result in account suspension, fund freezing, and regulatory reporting.
9. Limitation of Liability
Services are provided on an "as-is" basis without warranties. The Company shall not be liable for market losses, third-party service provider failures, indirect damages, or user negligence. Maximum liability is capped at fees paid in the preceding three months.
10. Suspension, Restriction & Termination of Services
The Company reserves the right to suspend, restrict, or terminate user access for breach of Terms, compliance concerns, regulatory directives, or risk management requirements. Certain provisions survive termination.
11. Governing Law, Jurisdiction & Dispute Resolution
These Terms are governed by the laws of India. Disputes shall be resolved through negotiation, failing which, by arbitration in Mumbai under the Arbitration and Conciliation Act, 1996. Courts in Mumbai have exclusive jurisdiction.
12. Amendments, Modifications & Updates
The Company reserves the right to amend these Terms at any time. Users will be notified of material changes. Continued use constitutes acceptance of modified Terms. These Terms, along with incorporated policies, constitute the entire agreement.
